These Terms of Service (“Terms”) govern your access to and use of the EchoLoom website, services, and any related deliverables. By visiting our site, requesting a quote, purchasing services, or using deliverables, you agree to these Terms.
1. About EchoLoom
EchoLoom provides audio and sound design services, including but not limited to UI/UX sound design, audio logos, sonic branding, product sounds, marketing audio assets, and related consulting (“Services”).
Some Services are delivered as digital files and may include creative direction, drafts, revisions, final mixes, stems, and documentation as agreed in writing.
2. Eligibility and Use of the Site
You may use the site for lawful purposes only. You agree not to misuse the site, attempt to access restricted systems, interfere with normal site operation, scrape protected content, or distribute malicious code.
If you represent a company, you confirm you are authorized to bind that entity to these Terms.
3. Quotes, Proposals, and Scope
Any estimate, quote, or proposal is based on the information available at the time and may be refined after discovery. The scope of work (“Scope”) will be defined in writing (for example, a proposal, statement of work, invoice description, or email confirmation).
The Scope typically includes a deliverable list, formats, duration, number of variations, revision rounds, timeline assumptions, and handoff details. Anything not explicitly included is out of scope.
4. Timelines, Feedback, and Client Responsibilities
Delivery timelines depend on timely feedback, access to required materials, and responsive approvals. You agree to provide accurate information, brand references, platform constraints (e.g., loudness targets, file formats, runtime limits), and decision-making availability.
Delays caused by missing inputs, late approvals, or repeated scope changes may shift deadlines. If we cannot proceed due to lack of feedback, we may pause work until communication resumes.
5. Revisions
Unless otherwise stated in the Scope, Services include a reasonable number of revision rounds (typically focusing on mix, tone, pacing, and implementation constraints).
Revisions do not include new concepts, major direction changes, or additions of new deliverables. Out-of-scope changes may require additional fees and schedule adjustments.
6. Fees, Invoicing, and Payments
Fees are described in the Scope or invoice. Payment terms are stated on the invoice or agreed in writing. Unless otherwise specified, production work may begin after an initial deposit or full payment.
Late payments may pause delivery. You are responsible for any bank transfer fees or payment processing fees unless otherwise stated.
7. Delivery and Acceptance
Deliverables are typically provided digitally (download link, file transfer, or other method). Upon delivery, you should review promptly and report any technical issues.
Unless otherwise stated, deliverables are considered accepted when you confirm acceptance in writing, use the deliverables publicly, or do not report material issues within a reasonable review window.
8. Intellectual Property and Licensing
Unless the Scope states otherwise, EchoLoom retains ownership of underlying creative methods, templates, sound design techniques, and non-client-specific assets used to produce deliverables.
Upon full payment, you receive a license to use the final deliverables for the purposes described in the Scope. The license is typically non-exclusive and worldwide, and may include use in a product, app, game, marketing, or brand communications, depending on what was agreed.
If you request an exclusive buyout, transfer of ownership, or broad rights outside the original use case, those terms must be agreed in writing and may involve additional fees.
9. Third-Party Materials and Client Content
If you provide brand assets, videos, UI prototypes, reference tracks, or third-party materials, you represent that you have the necessary rights to share and use them for the project.
If third-party libraries, plugins, or implementation frameworks are required, compatibility and licensing remain the responsibility of the client unless otherwise agreed.
10. Implementation Guidance
EchoLoom may provide implementation guidance (naming conventions, event mapping, suggested loudness targets, and integration notes). Final implementation is performed by you or your engineering team unless explicitly included.
11. Confidentiality
We may exchange confidential information during a project. Each party agrees to protect the other’s confidential information and to use it only for project purposes. This does not apply to information already public or independently developed without access to confidential materials.
12. Portfolio and Publicity
Unless otherwise agreed in writing, EchoLoom may reference the project in a portfolio after public launch, using non-confidential information and materials approved for public display.
If your project is under NDA or requires secrecy, notify us in writing before work begins.
13. Warranty Disclaimer
Services and deliverables are provided “as is” to the extent permitted by law. We do not guarantee that the site will be uninterrupted or error-free, or that deliverables will meet every subjective preference beyond the agreed Scope.
14. Limitation of Liability
To the maximum extent permitted by law, EchoLoom is not liable for indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities.
Our total liability for any claim related to the Services is limited to the amount paid for the specific Services giving rise to the claim.
15. Termination
Either party may terminate a project if the other materially breaches these Terms and does not cure the breach within a reasonable time after written notice.
If a project is terminated after work has begun, you are responsible for payment for completed work and non-cancellable costs. Any partial deliverables may be provided “as is” depending on payment status and agreements.
16. Changes to These Terms
We may update these Terms from time to time. If changes are material, we will update the “Last updated” date. Continued use of the site after changes means you accept the updated Terms.
